Please read these Terms of Service ("Terms") carefully before using www.exchangealpha.com (the "Website") or the Exchange Alpha mobile application (the "App"), operated by Exchange Alpha ("we," "us," or "our").

1. Acceptance of Terms

By accessing or using our Website, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Website.

Age Requirement: You must be at least 18 years old to create an account or subscribe to our services.

1.1 Account Registration

An account is required to subscribe to our alert services and access premium features. All new subscriptions include a two-week free trial. By creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your account information
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized use of your account
  • Be responsible for all activities under your account

An account is not required to browse the Website or view publicly available market data.

We reserve the right to suspend or terminate accounts that violate these Terms or provide false information.

1.2 Subscription Services(Real Time Data)

Access to real-time market data requires a paid subscription. By subscribing, you agree to:

  • Pay all applicable fees as described at the time of purchase
  • Provide valid payment information
  • Authorize us to charge your payment method for recurring subscription fees
  • Review and accept our cancellation and refund policies

Types of Subscriptions

  1. Business plan: with a business plan you will be able to redistribute the data, as in offering it to others. Terms of the business plan: You must maintain proper attribution to Exchange Alpha and our data providers
  • You may not white-label or rebrand our data as your own
  • Redistribution is limited to your direct customers only (no sub-licensing)
  • You remain responsible for your customers' use of the data
  1. Individual plan: with an individual plan, the data is for your use ONLY and any redistribution of the data will be considered a violation of the terms of service. We will immediately terminate your subscription without refund and reserve the right to pursue legal action and damages.

Available Data:

Exchange Alpha provides access to real-time financial market data and prediction market information, including but not limited to:

  • U.S. macroeconomic event data
  • Market probability indicators
  • Event outcome forecasts
  • Other market data as made available

Data Availability and Content:

  • The specific data available to you depends on your subscription plan
  • Data sources, content, and format are subject to change at our discretion
  • We will provide reasonable notice of material changes when possible
  • Complete data specifications are provided at time of purchase
  • We reserve the right to add, modify, or discontinue data feeds at any time

No Guarantee of Continuous Availability:

You acknowledge that data feeds may be temporarily unavailable or interrupted due to:

  • Technical issues or maintenance
  • Changes in upstream data availability
  • Third-party service interruptions
  • Other circumstances beyond our reasonable control

We will use commercially reasonable efforts to maintain data availability but make no guarantees of uninterrupted service.

Subscription Terms:

  • Subscriptions automatically renew unless cancelled
  • You will be charged on a recurring basis (monthly or annually, as selected)
  • Prices may change with 30 days' notice
  • No refunds for partial subscription periods unless required by law, or: see section 7.2 refund policy.

1.3 Notification Services

We offer various notification channels to deliver the data to you. By opting in to any notification service, you agree to the following:

  • Email notifications (via Resend)
  • Push notifications (via Apple Push Notification service)
  • Telegram messages
  • Discord notifications
  • Slack notifications

Your Consent:

By providing your contact information (email, Telegram username, Discord webhook, or Slack workspace) or enabling push notifications, you expressly consent to receive:

  • Market alerts and price notifications
  • Prediction market updates
  • Notifications and security alerts
  • Service updates and announcements
  • Marketing communications (optional, can opt out)

Email Consent (CAN-SPAM Compliance):

By providing your email address, you agree to receive:

  • Transactional emails (account updates, receipts, security alerts)
  • Marketing emails (if you opt in)
  • You can unsubscribe from marketing emails at any time
  • You will continue to receive important transactional emails

Managing Your Notifications:

You can control your notification preferences at any time by:

  • Clicking "unsubscribe" in any marketing email
  • Disabling push notifications in your device settings
  • Blocking our Telegram bot
  • Removing Discord webhooks
  • Revoking Slack app access

Third-Party Services:

Notifications are sent through third-party services (Resend, Apple Push Notification service, Telegram, Discord, Slack). These services have their own privacy policies and terms of service. By using our notification services, you also agree to these third-party terms.

2. Description of Service

Exchange Alpha is a financial data platform that provides:

  • Real-time stock, indices, crypto, metals and real estate market data
  • Prediction market data from third-party providers (Kalshi, Polymarket)
  • Market analysis and aggregated information
  • Educational content about prediction markets and financial data

2.1 What Are Prediction Markets?

Prediction markets are platforms where people trade contracts on the outcomes of future events, with market prices representing collective probability estimates.

Think of prediction markets like stock exchanges, but instead of buying shares in companies, you trade on whether specific events will happen:

  • "Will interest rates rise next quarter?"
  • "Will a company IPO this year?"
  • "Will a stock hit a certain price target?"

How Prices Work:

  • Market prices range from $0.00 to $1.00 (representing 0% to 100% probability)
  • If a YES share trades at $0.74, the market estimates a 74% chance of the event happening
  • Prices are determined by supply and demand from traders, but events will also have a market maker depending on the market
  • Winning shares pay $1.00; losing shares become worthless

Why Markets Matter: Research shows prediction markets often outperform expert predictions and polls because participants have financial incentives to be accurate. Markets aggregate knowledge from diverse participants and update in real-time as news breaks.

We display prediction market data as probability indicators overlaid on stock and cryptocurrency charts, allowing you to see how markets are pricing the likelihood of various price targets and events.

Important: We are a data display and aggregation platform only. We do NOT:

  • Facilitate trading or transactions on prediction markets or securities
  • Hold, manage, or transmit user funds
  • Provide brokerage services
  • Act as a financial advisor
  • Operate prediction markets

To trade on prediction markets, you must visit platforms like Kalshi or Polymarket directly.

2.2 Real-Time Data Provision

We provide real-time market data from third-party providers. This data is licensed to us for display purposes and is subject to the terms and conditions of our data providers.

3. No Investment Advice

The information provided on our Website is for informational and educational purposes only and does NOT constitute financial, investment, trading, or other professional advice.

You should not rely on any information on our Website as a substitute for professional financial advice. Any decisions you make based on information from our Website are your sole responsibility.

4. Third-Party Data

We display market data from third-party providers including Binance, Coinbase, Kalshi, and Polymarket. We do not guarantee the accuracy, completeness, or timeliness of this data.

The data providers retain all ownership rights to their data. Your use of this data is subject to the data providers' respective terms and conditions.

4.1 Data Usage Restrictions

You may NOT:

  • Redistribute, resell, or republish any data displayed on our Website for commercial purposes (except Business plan subscribers operating within their license terms as specified in Section 1.2)
  • Use automated systems to systematically extract, scrape, or download substantial amounts of data
  • Use our data to create competing products or services
  • Use our data for training generalized AI models for commercial redistribution
  • Store, archive, or create databases of our real-time data feeds for redistribution
  • Remove or obscure any data provider attributions or copyright notices

Permitted Automated Access:

The following automated access is allowed:

  • Search engine crawlers (Google, Bing, etc.) for indexing our Website
  • AI assistants (Claude, ChatGPT, etc.) accessing our Website to help users with queries
  • Accessibility tools and assistive technologies for users with disabilities
  • Browser automation for personal, non-commercial use
  • Research and educational use of publicly available data with proper attribution
  • API access through our official APIs (when available)

Commercial Use Requires Permission:

If you want to use our data for commercial purposes, training proprietary AI models, or systematic data collection, you must contact us at zach@exchangealpha.com for a commercial license.

5. Intellectual Property

5.1 Our Content

The Website and its original content, features, and functionality are owned by Exchange Alpha and are protected by international copyright, trademark, and other intellectual property laws.

5.2 Restrictions

You may not:

  • Modify, copy, distribute, transmit, display, reproduce, or create derivative works from our Website for unauthorized commercial purposes
  • Use our Website for unauthorized commercial purposes without our written permission
  • Attempt to reverse engineer any software contained on our Website
  • Use automated systems for systematic, large-scale data extraction without permission

Permitted Use:

  • Personal, non-commercial viewing and analysis
  • AI assistants accessing our Website to help answer user queries
  • Search engines indexing our Website
  • Accessibility tools for users with disabilities
  • Screenshots and references with proper attribution
  • Educational and research purposes (non-commercial)

6. Payment Terms

6.1 Subscription Fees

Payment Authorization: By subscribing to our services, you authorize us to charge your payment method for:

  • Initial subscription fee (after the free trial period ends)
  • Recurring subscription fees (monthly or annually)
  • Any applicable taxes
  • Any additional services you purchase

Free Trial: All new subscriptions include a two-week (14-day) free trial. You will not be charged during the trial period. If you do not cancel before the trial ends, your subscription will automatically convert to a paid subscription and you will be charged the applicable subscription fee.

6.2 Payment Methods

We offer two ways to subscribe:

Stripe (Website)

We accept major credit cards and debit cards through Stripe, our secure payment processor. Accepted cards include Visa, Mastercard, American Express, and Discover. All payment processing is handled by Stripe, a PCI-DSS Level 1 certified payment processor.

Payment Security: All payment transactions are processed securely through Stripe. We never store your complete credit card information on our servers. Your payment data is encrypted and transmitted directly to Stripe's secure servers.

Apple In-App Purchase (Mobile App)

Subscriptions purchased through our iOS app are processed by Apple. By purchasing a subscription through the App Store, you agree to the following:

  • Payment is charged to your Apple ID account at confirmation of purchase (or at the end of the free trial period, if applicable)
  • Subscriptions automatically renew unless you cancel at least 24 hours before the end of the current billing period
  • Your account will be charged for renewal within 24 hours prior to the end of the current period at the same price
  • Free trials automatically convert to paid subscriptions unless cancelled at least 24 hours before the trial ends. Any unused portion of a free trial is forfeited when you purchase a subscription
  • You can manage and cancel your subscriptions by going to your device's Settings > Apple ID > Subscriptions, or through the App Store
  • Cancellation takes effect at the end of the current billing period. You will retain access to your subscribed feeds until that period ends
  • Refunds for App Store purchases are handled by Apple. To request a refund, visit https://reportaproblem.apple.com

Billing Cycle:

  • Monthly subscriptions: Charged on the same day each month
  • Annual subscriptions: Charged once per year on the start of your subscription date

Failed Payments (Stripe): If a payment fails, we will:

  1. Attempt to process the payment again
  2. Send you an email notification
  3. Suspend your access to premium features or real time data after 7 days
  4. Cancel your subscription after 30 days of non-payment

You are responsible for any fees charged by your financial institution related to declined payments.

6.2 Price Changes

We reserve the right to change our subscription prices at any time. Price changes will:

  • Be communicated to you at least 30 days in advance
  • Apply to your next billing cycle
  • Allow you to cancel before the new price takes effect

6.3 Taxes

Subscription fees do not include applicable sales tax, VAT, GST, or other taxes. You are responsible for paying all applicable taxes based on your location.

7. Cancellation and Refunds

7.1 Cancellation Policy

You may cancel your subscription at any time.

Website (Stripe) subscriptions:

App Store (Apple IAP) subscriptions:

  • Go to Settings > Apple ID > Subscriptions on your device
  • You must cancel at least 24 hours before the end of your current billing period to avoid being charged for the next period

Upon cancellation:

  • You will retain access to your subscribed feeds until the end of your current billing period
  • No further charges will be made to your payment method

7.2 Refund Policy

Website (Stripe) subscriptions:

Generally, subscription fees are non-refundable. However, we may provide refunds in the following circumstances:

Eligible for Refund:

  • Technical issues preventing access to our services for more than 48 consecutive hours
  • Unauthorized charges (reported within 30 days)
  • Duplicate charges
  • Cancellation within 7 days of initial subscription (first-time subscribers only)

Not Eligible for Refund:

  • Change of mind after the 7-day window
  • Partial subscription periods
  • Failure to cancel before renewal
  • Service interruptions lasting less than 48 hours

To Request a Refund: Contact us at zach@exchangealpha.com with:

  • Reason for refund request
  • Date of charge
  • Any relevant documentation
  • Your name

We will review refund requests and respond within 5-7 business days.

App Store (Apple IAP) subscriptions:

Refunds for subscriptions purchased through the App Store are handled entirely by Apple. To request a refund, visit https://reportaproblem.apple.com. Exchange Alpha does not have the ability to issue refunds for App Store purchases.

8. User Conduct

You agree not to:

  • Violate any applicable laws or regulations
  • Infringe on the rights of others
  • Transmit any harmful code, viruses, or malicious software
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Website or servers

9. Disclaimer of Warranties

THE WEBSITE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability or fitness for a particular purpose
  • Warranties that the Website will be uninterrupted, secure, or error-free
  • Warranties regarding the accuracy, reliability, or completeness of data
  • Warranties that notifications will be delivered successfully or on time

NOTIFICATION SERVICE DISCLAIMERS:

WE DO NOT GUARANTEE:

  • Timely delivery of push notifications, email, or other notifications
  • That notifications will reach you as market events occur
  • Successful delivery through third-party services (Resend, Apple Push Notification service, Telegram, Discord, Slack)
  • That notification services will be uninterrupted or error-free

Notification delays, failures, or non-delivery may occur due to:

  • Email spam filters or delivery problems
  • Third-party service outages (Apple Push Notification service, Resend, Telegram, Discord, Slack)
  • Your device being turned off, offline, or in Do Not Disturb mode
  • Incorrect contact information or expired device tokens

YOU ACKNOWLEDGE THAT:

  • Notifications are provided as a convenience only
  • You should not rely solely on notifications for time-sensitive trading decisions
  • We are not responsible for losses due to notification delays or failures
  • You are responsible for monitoring markets independently

WE DO NOT WARRANT THAT DEFECTS WILL BE CORRECTED OR THAT OUR WEBSITE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXCHANGE ALPHA SHALL NOT BE LIABLE FOR ANY:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or use
  • Trading losses or investment losses
  • Damages resulting from your reliance on Website content
  • Damages from notification delays, failures, or non-delivery
  • Losses due to missed market opportunities from notification issues
  • Damages from third-party service failures (Resend, Apple Push Notification service, Telegram, Discord, Slack)

This applies even if we have been advised of the possibility of such damages.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED $100 (ONE HUNDRED US DOLLARS) OR THE AMOUNT OF FEES PAID BY YOU IN THE PAST 12 MONTHS, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages, so some of the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless Exchange Alpha, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:

  • Your use of the Website
  • Your violation of these Terms
  • Your violation of any rights of another party

12. External Links

Our Website may contain links to third-party websites. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party sites or services.

13. Modifications to Service

We reserve the right to modify, suspend, or discontinue the Website (or any part thereof) at any time without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Website.

14. Changes to Terms

We may update these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Effective Date."

Your continued use of the Website after changes are posted constitutes your acceptance of the revised Terms.

15. Termination

We may terminate or suspend your access to our Website immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Website will immediately cease.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

17. Dispute Resolution

Any disputes arising from these Terms or your use of the Website shall be resolved in the state or federal courts located in Florida. You consent to the personal jurisdiction of such courts.

18. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy and Disclaimer, constitute the entire agreement between you and Exchange Alpha regarding the use of our Website.
